The Annual Meeting of Shareholders of Scott’s Liquid Gold-Inc., a Colorado corporation (the “Company”), will be held at 9:10:00 a.m., Mountain Time, on Thursday, June 9, 20161, 2021 at the Doubletree by Hilton, 3203 Quebec Street, Denver, Colorado 80207,8400 E. Crescent Parkway, Suite 450, Greenwood Village, CO, 80111 for the purpose of electing five directorsconsidering and conducting an advisory vote to approve executive compensation (say-on-pay).acting on the following:

PROPOSAL 1 - ELECTION OF DIRECTORS

ShareholdersOur Board proposes that Leah S. Bailey, Rimmy Malhotra, Kevin A. Paprzycki, Philip A. Neri, Tisha Pedrazzini, and Daniel J. Roller be elected as directors of the Company, to hold office until the next annual meeting of shareholders or until their respective successors are being asked to elect fiveduly elected and qualified. Mr. Laber has been a private investor since 2000, when he retired after 33 years of service with Arthur Andersen.  Mr. Laber was an audit partner with Arthur Andersen from 1980 to 2000 and, with the exception of a leave for military service from 1966 through 1968, was employed by Arthur Andersen from 1965 until retiring in 2000.  Mr. Laber is a Certified Public Accountant and is a member of the American Institute of Certified Public Accountants and the Colorado Society of Certified Public Accountants.  Currently, Mr. Laber is on the board of directors, member of the audit committee and member of the compensation committee for Allied Motion Technologies, Inc. since November 2010.  He served as President of The Catholic Foundation of Northern Colorado from January 2008 until November 2012.  Formerly, Mr. Laber (i) served on the board of directors and as chair of the audit committee of Spectralink Corporation from April 2004 to March 2007, (ii) served on the board of directors and audit committee of Applied Films Corporation from July 2004 to July 2007 (audit chair from October 2005 to July 2007) and (iii) served on the board of directors, chair of the audit committee and member of the compensation and governance committee and nominating committee for Boulder Brands, Inc. from May 2005 through January 2016.  Each of these companies is, or was, publicly traded. Mr. Paprzycki has been employed by the Company as Chief Financial Officer, Treasurer and Corporate Secretary (Principal Financial Officer and Chief Accounting Officer) since June 2018 and began serving as interim co-President in April 2021. Prior to joining the Company, Mr. Paprzycki was employed by Westmoreland Coal Company and its subsidiary, Westmoreland Resource Partners, LP, where he served as Chief Executive Officer from December 2015 to November 2017 and as Westmoreland Coal Company’s Chief Financial Officer from May 2006 to December 2015 and Westmoreland Resource Partners’ Chief Financial Officer from December 2014 to July 2015. Mr. Paprzycki was also a member of each company’s board of directors. Subsequent to his employment with the Westmoreland entities, on October 9, 2018, both Westmoreland entities filed voluntary petitions in the United States Bankruptcy Court for the Southern District of Texas seeking relief under the provisions of Chapter 11 of Title 11 of the United States Code.

Ms. Bailey is currently a consultant, utilizing her 30+ year career in consumer-packaged goods to advise companies in strategy, marketing, and operations. Most recently she was the Chief Executive Officer of Fluresh LLC, a marijuana grower, processor and provisioning center in Michigan. She has been a director of Tikun Olam Global, a private company, since September 2020 and from 2014 to 2019, she served on the board of Frontier Co‑op. From 2015 through 2017 she was President, Global Beauty of Helen of Troy Limited, a global consumer products company with a portfolio of brands in the beauty, household and health and home categories. Prior to joining Helen of Troy Limited, she was President and Chief Executive Officer of Paris Presents, Inc., a provider of mass market consumer beauty products, including cosmetic and bath accessories and bath and body liquid products.

Before Bondurant, Mr. Neri was Vice President of Sales and Marketing at Barrett-Jackson, where he managed the company's sponsorship and business development programs, as well as its marketing, licensing and merchandising endeavors.  Mr. Neri was with Barrett-Jackson from 2006 through 2014, serving as Director of Sponsorships and Business Development prior to his promotion to Vice President. Before joining Barrett-Jackson, Phil Neri was Senior Vice President of Marketing and Sales at Home Fragrance Holdings, where his guidance and innovation led to the revitalization of the company's sales and marketing program. Prior to joining Home Fragrance Holdings, Mr. Neri was Senior Vice President of Sales for the Dial Corporation with responsibility for all Dial Corporation products targeting grocery, drug, military and convenience store distribution channels throughout the United States.  Phil was with the Dial Corporation for 18 years and held numerous sales and management positions throughout the company prior to his promotion to Senior Vice President. Ms. Garrett serves on the board of directors and audit committee of Ross Stores, Inc., a Fortune 500 company and the largest off-price apparel and home fashion chain in the United States. Ms. Garrett brings to the Board experience and expertise with respect to management matters, operational process improvement and technology innovation.

Mr. Malhotra is the Founder, President, and Chief Investment Officer of Nicoya Capital Management, LLC, an investment partnership focused on small capitalization companies whose partners include family offices, entrepreneurs, and high net-worth individuals.  He currently serves as a Director and Vice Chairman of HireQuest Inc. (Nasdaq: HQI), an asset light staffing franchisor, and as a Director of Optex Systems (OTC: OPXS), an optical systems manufacturer.  He is the Chair of Optex Systems’ Compensation Committee and sits on its Audit Committee. Mr. Neri began his independent consulting business, P. Neri Advisory Group, LLC in 2016 and is also Managing Partner/Strategic Relationships for Blue Dot Seats, a company recently formed to compete with companies like TicketMaster. Prior to forming his own consulting firm, Mr. Neri was Senior Vice President for the Bob Bondurant School of High-Performance Driving, where he managed the company’s operations including the sales and marketing efforts. Before Bondurant, Mr. Neri was Vice President of Sales and Marketing at Barrett-Jackson, where he managed the company’s sponsorship and business development programs, as well as its marketing, licensing and merchandising endeavors. Mr. Neri was with Barrett-Jackson from 2006 through 2014, serving as Director of Sponsorships and Business Development prior to his promotion to Vice President. Before joining Barrett-Jackson, Mr. Neri was Senior Vice President of Marketing and Sales at Home Fragrance Holdings, where his guidance and innovation led to the revitalization of the company’s sales and marketing program. Prior to joining Home Fragrance Holdings, Mr. Neri was Senior Vice President of Sales for the Dial Corporation with responsibility for all Dial Corporation products targeting grocery, drug, military and convenience stores distribution channels throughout the United States. Mr. Neri was with the Dial Corporation for 18 years and held numerous sales and management positions throughout the company prior to his promotion to Senior Vice President.

Ms. Pedrazzini began serving as interim co-President of the Company in April 2021.  Ms. Pedrazzini is the Founder and Chief Innovation Officer of TSP Marketing Transformation, LLC, a consulting firm that advises clients on brand transformation, innovative growth, and organization optimization.  Prior to founding TSP, Ms. Pedrazzini was President at The Integer Group/TBWA, where she oversaw all aspects of building and growing the agency.  She led a team of over 400 agency partners across five offices, working with sales and marketing leadership teams across many Fortune 500 clients to deliver advertising, big idea development, go-to-market strategies, and digital, eCommerce, DTC, social media, and consumer insights for existing and emerging brands. She holds a B.S. in Marketing and Biology from the University of Colorado.

Mr. Roller is the Founder, President, and Chief Investment Officer of Maran Capital Management, LLC, a Denver-based investment firm he founded in 2015. Maran Capital is focused on making concentrated, fundamentally driven, long-term oriented, private equity-style investments in publicly traded small capitalization companies. Mr. Roller has 18 years of investment research and management experience and has advised numerous public and private companies on topics such as M&A, capital allocation, corporate governance, and strategy. Mr. Roller holds a B.S.E. in Electrical Engineering and Computer Science from Duke University.

 

Mr. Roller brings to the board extensive experience in finance and investment management.

All of the foregoing persons are currently directors of the Company. Their positions on standing committees of the Board are shown below under “Directors’ Meetings and Committees.”



There are no family relationships among the executive officers or directors of the Company. ThereMr. Malhotra, Ms. Pedrazzini and Mr. Roller were nominated as directors, and Mr. Roller will receive reimbursement of certain legal fees, pursuant to an agreement between the Company and Maran Capital Management, which holds approximately 13% of the Company’s outstanding common stock. Other than the agreement with Maran Capital Management, there are no arrangements or understandings pursuant to which any of these persons were elected as an executive officer or director.  Mark Goldstein, the Company’s former chief executive officer, agreed in his separation agreement with the Company to vote his shares at the Annual Meeting as recommended by the Company.

The fiveDirectors will be elected by a plurality of the votes cast. “Plurality” means that the nominees havingreceiving the highestlargest number of votes cast in favorare elected as directors up to the maximum number of their electiondirectors who are nominated to be elected at the meeting. PROPOSAL 2:2 – ADVISORY VOTE TO APPROVE EXECUTIVE COMPENSATION

 

This proposal gives our shareholders the opportunity to vote to approve or not approve, on an advisory basis, the compensation of our named executive officers. This vote is not intended to address any particular component of any compensation package, but rather the overall compensation of our named executive officers and our compensation philosophy, policies and practices, as disclosed under the “Executive Compensation” section of this Proxy Statement. We are providing this vote as required by Section 14A of the Securities Exchange Act of 1934, as amended (the “Exchange Act”). Accordingly, we are asking our shareholders to vote to approve, on an advisory basis, the compensation of the Company’s named executive officers, as disclosed in this Proxy Statement under the heading entitled “Executive Compensation.”

The Company’s compensation packages for its executive officers are designed to enable the Company to recruit, retain and motivate its officers, to synchronize executive compensation with the Company’s performance, to motivate executive officers to achieve the Company’s business objectives, to provide performance incentives and minimize undue risk to the Company. The Board of Directors believes that the Company’s approach to compensating its executive officers, as described in this Proxy Statement, effectively accomplishes these objectives.

Vote Required

The say-on-pay proposal is advisory and non-binding. The approval or disapproval of this proposal by shareholders will not require the Board of Directors or the Compensation Committee to take any action regarding the Company’s executive compensation practices. The final decision on the compensation and benefits of the Company’s executive officers and on whether, and if so, how, to address shareholder disapproval remains with the Board and the Compensation Committee. Although the say-on-pay vote is non-binding, the Board of Directors will review and consider the voting results when making future executive compensation decisions. Our executive compensation will be approved, on an advisory basis, if the votes cast by shareholders in favor of advisory approval exceed those votes cast in opposition of advisory approval.

THE EXECUTIVE COMPENSATION

BOARD LEADERSHIP STRUCTURE AND ROLE IN RISK OVERSIGHT

The Board is actively involved in assessing and managing risks that could affect the Company. Part of the Board’s role is to periodically assess the processes utilized by management with respect to risk assessment and risk management, including identification by management of the primary risks of the Company’s business, and the implementation by management of appropriate systems to address such risks. The Board fulfills these responsibilities either directly, through delegation to committees of the Board, or, as appropriate, through delegation to individual directors. When the Board determines to delegate any risk management oversight responsibilities, typically such delegation is made to the standing committees of the Board.


Although the Company is not listed on NASDAQ or any other exchange, the Board has elected to apply NASDAQ’s independence standards to the Board.

All members of the Board, other than Mr. Paprzycki and Ms. Pedrazzini, who are executive officers of the Company, are independent.  Mr. Roller, who is an independent director, serves as Chairperson of the Board.  Because Mr. Roller is independent, the Company will no longer have a lead independent director position.  


Mr. Goldstein serves as both the Chairman of the Board and the Chief Executive Officer of the Company. The Company believes this is appropriate in light of Mr. Goldstein’s significant experience and leadership roles with the Company, and his in-depth knowledge of consumer products and the Company’s management, marketplace, customers, marketing, sales and strategic vision. The Company further believes Mr. Goldstein’s effectiveness in promoting the Company’s products and forming new business relationships is significantly enhanced by his role as both Chairman of the Board and Chief Executive Officer. The Board does not have a lead independent director.

EXECUTIVE OFFICERS

The Company has three executive officers. They areofficers, Mr. Goldstein, Mr. LevinePaprzycki, Ms. Pedrazzini and Mr. Hyman. Mr.Michael B. Hyman, 60,63, has been employed by the Company as Senior Vice President of Sales beginning insince 2013. Prior to joining the Company, Mr. Hyman served as an independent sales and marketing consultant from August 2012 through December 2012, Vice President of Sales OOK Division for the Hillman Group from December 2011 through July 2012, and Vice President of Sales for Impex Systems Group from August 2007 through December 2011.

During 2020, Mr. Goldstein served as Chief Executive Officer, but retired effective April 26, 2021.

The executive officers of the Company are electedapproved annually at the first meeting of the Company’s Board held after each annual meeting of shareholders and serve at the pleasure ofas determined by the Board.

DIRECTORS’ MEETINGS AND COMMITTEES

During the year ended December 31, 2015,2020, the Board had threefour regular meetings and acted by written consent twice, three Auditone special meeting, five Audit Committee meetings, and twofive Compensation Committee meetings. No member of the Board attended fewer than 75% of the meetings of the Board or of committees for which such member served during 2015. Although the Company is not listed on NASDAQ,year ended December 31, 2020. The independent members of the Board has elected to apply NASDAQ’s independence standards tomet without management present at least once each quarter and the Board. During 2015, Mr.  Laber, Mr. Neri and Ms. Garrett satisfiedlead independent director served as chair for such meetings.  In the NASDAQ independence standards.future, the Board Chairperson will serve as the chairperson for such meetings.

Audit Committee

The Audit Committee’s primary responsibilities include appointing the independent auditor for the Company, pre-approving all audit and non-audit services, overseeing the implementation of new accounting standards, approving related party transactions and assisting the Board in monitoring the integrity of the financial statements of the Company, the independent auditor’s qualifications, independence and performance and the Company’s compliance with legal requirements. Compensation Committee

The primary responsibilities of the Compensation Committee include, without limitation, overseeing the development of a compensation philosophy for the Company, reviewing the compensation packages for executive officers and engaging and overseeing compensation consultants and advisers. The Compensation Committee may not delegate its authority. The Compensation Committee operates under resolutions adopted by the Board of Directors that may constitute a charter, a copy of which is attached hereto as Appendix A. The Compensation Committee consists of three directors, each of whom is an independent director as defined under the NASDAQ rules. During 2015, the members of the Compensation Committee were Mr. Neri (Chairperson), Mr. Laber and Ms. Garrett.

In making decisions regarding executive compensation, the Compensation Committee requests the comments of the Chief Executive Officer and the other executive officers about their compensation and considers a number of factors. In determining the executive compensation in 2014 and 2015, the Committee considered, among other things, the following matters:

The Compensation Committee did not use an outside consultant for compensation matters during 2014 and 2015.

The Compensation Committee also determines the fees paid to the non-employee directors, with input from the Company’s executive officers. The Compensation Committee consists of three directors, Ms. Bailey (Chairperson), Mr. Malhotra and Mr. Roller, each of whom is independent. During 2020, the Compensation Committee consisted of three directors, Mr. Neri (Chairperson), Ms. Bailey, and Mr. Laber, each of whom is independent. How each compensation element and the Company’s decisions regarding that element fit into the Company’s overall compensation objectives and affect decisions regarding other elements.

The Compensation Committee also takes into account the results of the previous say-on-pay proposals, which includes the most recent favorable vote of 68% of the votes cast.

In 2019, the Compensation Committee engaged the Harlon Group to establish a performance-based bonus planpeer group and advise the committee as to compensation matters, including compensation practices of the Company as compared to the peer group.

In 2020, the Compensation Committee engaged Pay Governance to provide a market analysis for purposes of establishing a peer group and providing compensation advice. The report from Pay Governance compared elements of the Company’s compensation for the Chief Executive Officer,executive officers to a peer group of 13 publicly traded companies similar in revenue, market cap and industry to the Chief Financial OfficerCompany. The peer group was developed by Pay Governance and approved by management and the Senior Vice PresidentCompensation Committee. The approved peer group companies were: Charles & Colvard, Crown Crafts, Eastside Distilling, Escalade, FitLife Brands, Integrated BioPharma, Jones Soda, Koss, Mannatech, Ocean Bio-Chem, Paradise, Reed’s, and Reliv International. Compared to the peer group companies, target cash compensation (base salary plus target bonus) for the named executive officers is near the upper quartile, in the case of Sales. UnderMr. Hyman, and in the bonus plan,upper quartile, in the case of Mr. Goldstein and Mr. Levine each hadPaprzycki, with base salaries above the potentialpeer 75% quartile and target annual incentives between the peer 25% and the peer 50% quartiles. While the target annual incentives are between the 25% and 50% quartiles, no incentives were paid in 2020.

In 2019, the Compensation Committee adopted a performance-based plan pursuant to earn a bonuswhich Mr. Goldstein, Mr. Paprzycki and Mr. Hyman received restricted stock unit awards that will vest on the third anniversary of the grant date and will result in an award equal to up to 35% and 30%the following number of their respective salaries in 2015 and 2014, respectively,shares if the Company achieved net income targets established byCompany’s common stock price improves to an average trading price at or above $2.75, $3.50 or $4.25 for 30 consecutive trading days during the Compensation Committee.term: with respect to Mr. Goldstein, 58,454, 96,588 or 122,255 shares; with respect to Mr. Paprzycki, 38,011, 55,000 or 65,000 shares; and with respect to Mr. Hyman, had28,493, 44,775 or 55,310 shares. In October 2020, the potentialCompany awarded RSUs to earn a bonus equalthe same officers, one third of which vested upon issuance and one third of which vest thereafter on each anniversary of issuance until fully vested, in the following amounts: 93,358 to upMr. Goldstein; 51,848 to 14.5%Mr. Paprzycki; and 13%30,837 to Mr. Hyman. Any unvested RSU awards held by Mr. Goldstein expire as of his salary in 2015 and 2014, respectively, if the Company achieved net income targets established by the Compensation Committee. The Company exceeded the pre-established net income targets for both 2015 and 2014. retirement.

The Compensation Committee can increasealso adopted a cash based annual incentive plan pursuant to which the foregoingnamed executive officers could achieve cash bonuses based on both individual and Company performance. Because the Company did not achieve profitability for the years ended December 31, 2019 or December 31, 2020, the named executive officers did not receive a cash bonus percentages if warranted byunder the circumstances.plan. STOCK PLANS

Prior to its expiration on March 31, 2015, executive officers and non-employee directors of the Company were eligible to receive stock awards under theThe Company’s 2005 Stock Incentive Plan (the “2005 Plan”) and awards under the 2005 Plan remain outstanding currently.  Following the expiration of the 2005 Plan, the Company adopted the 2015 Equity and Incentive Plan (the “2015 Plan”).  The number of includes 2,000,000 authorized common shares authorized under the 2005 Plan was 3,000,000 and the number of common shares authorized under the 2015 Plan is 2,000,000.

The 2005 Plan provided for the issuance of stock awards consisting of incentive and non-qualified stock options, stock appreciation rights, restrictive stock or restrictive stock units. Eligible persons under the 2005 Plan were full-time and part-time employees, non-employee directors and consultants. Under the 2005 Plan, stock awards vested upon a change in control. All options granted in or prior to 2006 were 100% vested on the date of grant. Options granted after 2006 generally vested  1/48 of the shares subject to the options each month after the date of grant and vested fully upon a change in control, with the exception of option awards to our three non-employee directors which vested immediately, as described below.

The 2015 Plan provides for the issuance of stock awards consisting of incentive and non-qualified stock options, stock appreciation rights, restrictive stock or restrictive stock units, performance share awards and performance compensation awards. Eligible persons under the 2015 Plan are full-time and part-time employees and non-employee directors. Equity Grants in 2019

During 2019, the Company awarded: 20,000 RSUs to four independent directors, which will vest one-third, ratably, over three years on each anniversary of the grant date; and RSUs to the named executive officers and certain employees, vesting of which is subject to specific market conditions as well as service conditions. The named executive officer and employee RSUs will vest on the firstthird anniversary of the grant date, of grant, or upon a change in control under certain circumstances, and which expire after five years. All ofNovember 14, 2022, if the foregoing options were grantedCompany’s average stock price for any consecutive 30-day period is at or above $2.75 (Tier 1 - 133,445 shares vest), $3.50 (Tier 2 - 208,643 shares vest), or $4.25 (Tier 3 - 257,078 shares vest) during the market value as of the date of grant. EMPLOYMENT AGREEMENTS AND COMPENSATION OF OUR NAMED EXECUTIVE OFFICERS

On March 26, 2014, the Company entered into an employment agreementsagreement with Mr. Goldstein and Mr. Levine.Goldstein. Pursuant to the employment agreements, each executiveagreement, Mr. Goldstein is eligible to receive a base salary and an annual bonus of between 25-50% of the executive’shis base salary during the applicable bonus period, provided the executivehe remains employed the entire calendar year, and the Board, in its sole discretion, determines that the executive and the Company, as applicable, met or exceeded all of the goals and objectives of the written annual bonus plan approved by the Board or Compensation Committee.

The agreements are for a three-year term, but may be terminated by either party before that time, with or without cause. The agreementsagreement also includeincludes terms and provisions to protect our business and confidential information, including standard non-compete, non-solicitation of clients and employees, and no-hire obligations during the term of employment.obligations. Upon either Mr. Goldstein’s or Mr. Levine’s termination of employment by the Company not for “cause,” or by Mr. Goldstein or Mr. Levinethe employee for “good reason” (as each term is defined in the employment agreement), in addition to already earned salary and any earned but unpaid bonus for the prior year, Mr. Goldstein and Mr. Levine arethe employee is entitled to receive certain payments and benefits, including: (1) a severance payment equal to 18 months of theirhis then current base salary in effect on the day of termination payable over a period of 18 months; and (2) reimbursement for


the costs of continuing health benefits for a period of 18 months following termination. All severance payments and benefits are subject to compliance with the restrictive covenants in the employment agreement (such as the nondisclosure,non-disclosure, non-solicitation, and non-competition provisions) for the 18 months after termination of employment, as well as the receipt of a release from the executive officer.

Following Mr. Goldstein’s retirement, his employment agreement is no longer in effect, except for those provisions that are intended to survive his separation from service, including non-disclosure, non-solicitation and non-competition provisions. In connection with Mr. Goldstein’s retirement, Mr. Goldstein and the Company entered into a Separation, Waiver and Release Agreement pursuant to which he is receiving $720,000 in severance payments (equal to 18 months base salary) to be paid over a period of 30 months and reimbursement for the costs of continuing health benefits for a period of 18 months. In exchange, Mr. Goldstein provided a broad release of the Company, agreed to assist with transitional matters and agreed to vote at the Annual Meeting as recommended by the Company.

Mr. Paprzycki has entered into an Employee At Will, Non-Disclosure, Non-compete, and Development Assignment Agreement with the Company that provides for, among other things, severance in an amount equal to twelve months of his base salary as of the date of separation, following the termination of his employment with the Company. Severance benefits are subject to compliance with the restrictive covenants in the employment agreement (such as non-disclosure and a 12-month non-competition provision), as well as the receipt of a release from Mr. Paprzycki.

STOCK OWNERSHIP REQUIREMENTS

Each non-employee director must hold the number of shares of common stockCommon Stock equal in value to at least the annual cash compensation of such director, determined as of September 19, 2013.director. Directors have three years within which to acquire such number of shares (including such number of shares to reflect any increase in cash compensation that occurs during such three year period). In the event the cash compensation of directors is increased after such three year period, directors will have an additional year to raise their ownership to reflect the increased amount of compensation, using the closing price on the day of approval of such compensation increase. COMPENSATION OF DIRECTORS

As of December 31, 2015, two directors,2020, Mr. Goldstein and Mr. Levine, werePaprzycki served as full-time executive officers of the Company and as a result received no additional compensation for their service as a director. For 2020, annual director andfees increased beginning in October 2020, from $37,800 to $45,000 for Mr. Laber, the Chairperson of the Audit Committee, and from $36,240 to $42,000 and $40,000 for Mr. Neri and Ms. Garrett were the Board’s non-employee directors. As of December 31, 2015, the annual director fees were $31,500 for the Audit Chair and $30,000 for the other non-employee directors.Bailey, respectively. In addition, directors were eligible for option awardRSU grants under the Company’s 2015 Plan.

Mr. Malhotra, Ms. Pedrazzini, and Mr. Roller joined the board of directors in 2021, received no compensation from the Company during 2020 and will receive comparable compensation to our other independent directors for 2021, provided that Ms. Pedrazzini will not receive additional compensation for her service as a director following her appointment as interim co-President.  Mr. Malhotra will receive $40,000, which will be increased to $45,000 when he becomes Chairperson of the Audit Committee and Mr. Roller will receive $40,000.

EKS&H LLLP has been the Company’s independent auditors since June 2003.2021. A representative of EKS&H LLLPPlante Moran is expected to be present at the Annual Meeting of Shareholders and to have the opportunity to make a statement if the representative so desires. Such representative also is expected to be available to respond to appropriate questions at that time.

The audit reports of Plante Moran on the Company’s financial statements for the years ended December 31,


2020 and 2019, respectively, did not contain an adverse opinion or a disclaimer of opinion, and were not qualified or modified as to uncertainty, audit scope or accounting principles. During the two most recent completed fiscal years, there were no disagreements between the Company and its independent auditors on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedures, which disagreements, if not resolved to the satisfaction of the independent auditors would have caused them to make reference thereto in their reports on the Company’s financial statements for such years. During the two most recent completed fiscal years, there were no reportable events within the meaning set forth in Item 304(a)(1)(v) of Regulation S-K.

Audit fees are for the audit of the Company’s annual financial statements and the review of the Company’s Annual Report on Form 10-K and Quarterly Reports on Form 10-Q. Audit-related fees include required review of certain filings with the SEC, issuance of consents, review of correspondence between the Company and the SEC and services concerning internal controls. Tax fees primarily include tax compliance, tax advice, including the review of, and assistance in the preparation of, federal and state tax returns. All other fees are for permitted advisory services.

Policy on Pre-Approval of Audit and Non-Audit Services

The Audit Committee’s policy is to pre-approve all audit and non-audit services provided by the independent public accountants. Pre-approval is generally provided for up to one year, and any pre-approval is detailed as to the particular service or category of services. The Audit Committee has delegated limited pre-approval authority to its chairperson. The chairperson is required to report any decisions to pre-approve such services to the full Audit Committee at its next meeting. All of the audit and non-audit services disclosed in the table above were pre-approved by the Audit Committee.
